Image Usage Agreement

G&H Wire Company, Inc., a Delaware corporation d/b/a G&H Orthodontics® ("G&H"), has created a library of images, logos and other materials (the "Images"). The Images may be used only by authorized G&H distributors in promoting G&H products and by authorized G&H dealers in their client education efforts, in each case within orthodontic practice and orthodontic study club websites and presentations for purposes that adhere to the Terms and Conditions of this Image Usage Agreement.

Use of the Images is subject to the following terms and conditions:

1. G&H exclusively owns and retains all property rights, title, and interest in, to, and under the Images, including without limitation the worldwide trademarks and copyrights to the all the images and materials provided herein. No copyright license (whether express or implied) is granted to the user, other than the right to reproduce the images without alteration for orthodontic practice marketing, patient and/or orthodontic staff education, and product marketing use only for G&H products sold under the G&H brand.
2. The G&H Orthodontics® signature (i.e., symbol with logotype), the G&H Orthodontic Products signature (i.e., symbol with logotype), and all other G&H trademarks and copyrights may be used in association with G&H products only.
3. The Images shall only be used in association with the appropriate trademarks and/or service marks of G&H. Use of the Images shall also be accompanied by "®" to indicate registration with the U.S. Patent and Trademark Office and with world trademark registration bodies.
4. The Images provided are "as is". All warranties relating to the Images are hereby disclaimed, including, without limitation, warranties of good title, non–infringement, merchantability, and fitness for a particular purpose.
5. The recipient agrees to indemnify and hold G&H harmless against all claims, costs, damages, and losses arising out of any breach of this Agreement.
6. All rights granted hereunder are non-exclusive and royalty–free, and will terminate at the convenience of G&H at any time, with or without cause, and will terminate automatically upon the termination or expiration of the distributor or dealer relationship between G&H and the undersigned.
